The following terminology applies to these Terms and Conditions, Privacy Statement, and Disclaimer Notice and any or all Agreements: “Client,” “You,” and “Your” refers to you, the person accessing this website or the Engent application and accepting the Company’s terms and conditions. “The Company,” “Clovo,” “Ourselves,” “We,” and “Us,” refers to Clovo Inc., which operates Engent. “Engent” or the “Service” refers to the Engent website and application. “Party,” “Parties,” or “Us,” refers to both the Client and ourselves.

Any use of the above terminology or other words in the singular, plural, capitalization, and/or he/she or they, are taken as interchangeable and therefore as referring to the same.

These terms apply to https://engentai.com and to the Engent application. These terms of use are governed by and interpreted under the laws of the State of Texas, United States.

Information you provide to us is treated as confidential and is not disclosed to any third party except: (a) to the service providers who help us operate Engent, as described in the Privacy Policy below, each of whom is bound to keep it confidential and to use it only to provide services to us; (b) where you have directed us to share it, such as by instructing an agent to send a message or submit an application on your behalf; or (c) where we are legally required to disclose it to the appropriate authorities.

You have the right to request a copy of the personal information we hold about you, and to request its deletion, as described in the Your Privacy Rights section below.

We will not sell, share, or rent your personal information to any third party, and we will not use your e-mail address for unsolicited mail. Any emails sent by Engent will be in connection with the provision of agreed services and products, including account verification, password resets, and transactional notices such as summaries of the actions your agents have taken.

Age: The Service is intended for users aged 17 and older. You must be at least 17 years old to create an account. We do not knowingly collect personal information from children under 13.

• Supported services: Engent relies on third-party services within the app and website, including Supabase (authentication, database, and file storage), Stripe (payments), and the artificial intelligence providers identified in the AI Processing and Service Providers section below.
• Internet Connectivity/Delays: This software/service is not liable for damage, delivery failures, or damage for other delays.
• You agree not to use our service for any criminal use.
• You agree that Clovo Inc does not make any guarantee regarding the quality of the services provided or the outcome of any action performed by an agent.
• You agree not to tamper, harm, or do anything with any code or try to hack into our services, involving the website and through our app.
• You agree that charges with your cellular provider like data charges may apply and are allowed.

An automatic update can be released at any time. An update consists of such as bug fixes, patches, enhanced functions, missing plug-ins, and new versions of the app/website.

The information on this website is provided on an “as is” basis. To the fullest extent permitted by law, Clovo Inc: excludes all representations and warranties relating to this website and its contents or which is or may be provided by any affiliates or any other third party, including in relation to any inaccuracies or omissions in this website and/or the Company’s literature; and excludes all liability for damages arising out of or in connection with your use of this website.

This includes, without limitation, direct loss, loss of business or profits, damage caused to your computer, computer software, systems, and programs and the data thereon, or any other direct or indirect, consequential, and incidental damages. Clovo Inc does not, however, exclude liability for death or personal injury caused by its negligence. The above exclusions and limitations apply only to the extent permitted by law. None of your statutory rights as a consumer are affected.

Engent includes features powered by artificial intelligence, including autonomous agents that carry out tasks on your behalf. You acknowledge and agree that these agents are software. They are not people, they are not conscious, and they do not have knowledge, memory, or judgment beyond the material provided to them and the behavior of the underlying AI models.

AI-generated output may be inaccurate, incomplete, outdated, or entirely fabricated, including statements that appear confident. You should independently verify any information that matters to you and should not rely on AI-generated output for any consequential decision.

Engent is not a medical device and is not a healthcare, mental health, counseling, legal, or financial service. Agents do not provide professional advice of any kind and are not a substitute for a qualified professional. We may change, limit, suspend, or discontinue AI features at any time, and the behavior or availability of an agent may change as the underlying models change.

Engent allows you to configure agents that, based on your instructions, may take actions such as searching for information, drafting and sending messages, submitting job applications, and interacting with third-party websites and services.

You are solely responsible for the instructions you give agents and for the actions those agents take. You must ensure that your use of the Service, and the actions your agents perform, comply with all applicable laws and with the terms of any third-party service the agents interact with (for example, job boards, email providers, or messaging platforms). You represent that you have the rights and permissions necessary for any content, contact information, or credentials you provide to an agent.

We do not guarantee that any automated action — such as a job application or an outreach message — will be delivered, succeed, or be accepted. You agree to indemnify and hold Clovo Inc harmless from any claim arising out of an action performed by an agent you configured.

You retain ownership of the prompts, résumés, documents, contact information, messages, and other content you create or provide in Engent (“Your Content”). Your Content is private by default and is not published unless you choose to share it.

You grant Clovo Inc a limited, worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, adapt, and display Your Content solely for the purpose of operating and providing the Service to you. This includes transmitting Your Content to the service providers described in the AI Processing and Service Providers section so that features such as agent reasoning, search, and messaging can function. This license ends when you delete Your Content or your account, except for copies retained in routine backups for a limited period and any content that third parties have already received.

We do not use Your Content to train foundation AI models, and we do not sell Your Content.

• Sending spam, unsolicited bulk messages, or any communication in violation of anti-spam or telemarketing laws.
• Uploading content you do not have the rights to, or that infringes anyone’s intellectual property, privacy, or publicity rights.
• Posting or generating content that is unlawful, harassing, abusive, hateful, threatening, sexually explicit, or that exploits or endangers a minor.
• Using AI-generated text or actions to deceive, defraud, impersonate, or manipulate any person.
• Attempting to extract, reverse engineer, or misuse the underlying AI models, or using the Service to build a competing product.
• Automated scraping, bulk downloading, or accessing another person’s content or account, or using an agent in a way that violates a third-party service’s terms.

Subscriptions purchased through the Engent website are processed by Stripe. Clovo Inc never receives or stores your full payment card details. Subscriptions renew automatically at the interval shown at the time of purchase until cancelled. You can manage or cancel your subscription at any time from the billing portal; cancellation takes effect at the end of the current billing period.

For purchases processed by Stripe, requests for refunds may be made by email to support@engentai.com, and refunds are offered at Clovo Inc’s discretion; where a refund is offered, processing may take at least 7 business days. Clovo Inc is not responsible for delays in payment processing caused by Stripe’s policies or procedures. Clovo Inc or the Client may terminate any Services Agreement at any time and for any reason, and Clovo Inc will not offer a refund for any portion of a Service already provided if the Client terminates.

We do not monitor or review the content of other parties’ websites which are linked to from this website or which your agents may access. Opinions expressed or material appearing on such websites are not necessarily shared or endorsed by us. We are not responsible for the privacy practices or content of these sites, and you should evaluate the security and trustworthiness of any other site yourself before disclosing any personal information to it.

Like most interactive websites, the Engent website uses cookies to enable us to retrieve user details for each visit and to keep you signed in. Cookies are used in some areas of our site to enable the functionality of that area and ease of use for those people visiting.

We use IP addresses to analyze trends, administer the site, and gather broad demographic information for aggregate use. IP addresses are not linked to personally identifiable information. For systems administration and troubleshooting, our servers automatically log standard access information such as browser type, access times, URL requested, and referral URL. This information is not shared with third parties and is used only within Clovo Inc on a need-to-know basis.

Copyright and other relevant intellectual property rights exist on all text relating to the Company’s services and the full content of this website.

The laws of the United States govern these terms and conditions. By accessing this website and using our services, you consent to these terms and conditions and to the exclusive jurisdiction of the US courts in all disputes arising out of such access. If any of these terms are deemed invalid or unenforceable, the invalid or unenforceable provision will be severed and the remaining terms will continue to apply. Failure of the Company to enforce any provision shall not be construed as a waiver. These terms may be amended only in writing by the Company, and your continued use of the Service after changes take effect means you accept the revised terms.

This privacy policy has been compiled to better serve those who are concerned with how their Personally Identifiable Information (PII) is being used online. Please read it carefully to understand how we collect, use, protect, and otherwise handle your information in accordance with our website and app.

When you register for and use Engent, we collect: your name and email address; the content you provide or create, including prompts, résumés and documents, contact information, and messages your agents send or receive; your account identifier; your subscription and purchase status; and information about how you interact with the app.

We do not collect your location, and we do not receive or store your full payment card details; those are handled by Stripe. We do not collect health, fitness, or biometric identification data.

• To create and authenticate your account and keep it secure.
• To store your agents, prompts, and content and to run the agents you configure.
• To carry out the actions you instruct an agent to perform, such as searching, drafting, messaging, or submitting applications.
• To process your subscription and send you transactional notices such as verification, password resets, and summaries of agent activity.
• To understand in aggregate how features are used so we can improve them, and to detect, investigate, and prevent abuse, fraud, and violations of our terms.

Some Engent features work by sending your content to specialist providers that process it on our behalf. These providers act as our processors: they are permitted to use your content only to perform the service we have asked them to perform, and they are not permitted to use it for their own purposes or to train their own models on it.

• Supabase: authentication, database, and file storage for your account and the content you save.
• Anthropic: generates the reasoning and responses that power your agents. The text and context needed to perform a task is sent to Anthropic.
• Stripe: processes subscription payments.
• Resend: delivers transactional and summary emails on our behalf.
• Job and data providers (such as Adzuna and similar services): return search results when you use agents that query them.
• We may add or change providers as the Service evolves and will update this policy when we do. Where a provider is located outside your country, your information may be transferred and processed there.

We implement a range of technical and organizational measures to keep your information safe. Your data is encrypted in transit using TLS (HTTPS) and encrypted at rest. Information is stored on secured infrastructure that is accessible only to a limited number of authorized personnel with role-based access, who are required to keep it confidential. We never sell your personal data.

We keep your account information and the content you create for as long as your account is active. You can delete individual agents, prompts, and content at any time, and you can delete your entire account. Deleting your account removes your profile and content and instructs our service providers to delete the copies they hold on our behalf. Deletion is permanent and cannot be undone. Residual copies may persist in encrypted routine backups for a limited period, and we may retain a minimal record of the deletion and any information we are legally required to keep, such as transaction records. You may also request deletion by emailing support@engentai.com from the address associated with your account.

Depending on where you live, you may have the right to access the personal information we hold about you, to receive a copy of it, to correct it, to delete it, to object to or restrict certain processing, and to withdraw consent you have previously given. To exercise any of these rights, email support@engentai.com from the address associated with your account. We will respond within the period required by the law that applies to you, and we will not discriminate against you for exercising these rights.

Engent is intended for users aged 17 and older and is not directed to children. We do not knowingly collect personal information from children under 13. If we learn that we have collected personal information from a child under 13, we will delete that information and terminate the account. If you are a parent or guardian and believe your child has created an account, contact us at support@engentai.com and we will remove it.

Should a data breach occur, we will notify affected users by email and by in-app notification without undue delay, and in any event within 72 hours of becoming aware of a breach that affects their personal information, together with any regulator we are required to notify.
